Terms & Conditions

1.1 Oxford Intelligence and IPAWorld are trademarks of Oxford Intelligence Ltd. Oxford Intelligence, OI and Oxford Intelligence Ltd shall mean the company's employees, agents or subcontractors. "Reports" shall mean any published material produced by Oxford Intelligence Ltd, which shall include licence subscription to Oxford Intelligence services, reports, databases, IPAWorld News and ad hoc reports. "Services" shall mean all other work invoiced by Oxford Intelligence Ltd.
1.2 "The Client" shall mean any person or persons, firm, business or corporate body, which purchases Oxford Intelligence Ltd Reports or Services or which purchases an annual licence subscription to Oxford Intelligence Services or Reports, or its employees, agents and licensees. "Licensees" shall mean the associate of the Oxford Intelligence Client as set out in the contractual agreement. "Agents" shall mean any individual or organisation, external to the Client, which is contracted to deliver, in part or in full, the Client's investment programme.
1.3 Oxford Intelligence Ltd reserves the right to decline to accept an application or order for work without being required to give a reason.

2.1 No Report or abridgement or abstract of a Report shall be used in any company prospectus, or other publication without the prior written consent of Oxford Intelligence Ltd. Reproduction or redistribution of Oxford Intelligence Ltd Reports or Databases in any form is prohibited without prior written consent of Oxford Intelligence Ltd. Reports may be transmitted only to the employees of the Client, on the condition that no financial gain is made as a direct result of the transmission.
2.2 In order to monitor licensing agreements, Oxford Intelligence Ltd reserves the right to insert tracer information into reports.

3.1 Oxford Intelligence Ltd shall treat all information obtained from the Client and from consultancy Services provided to the Client as confidential. No such information will be disclosed to a third party without the consent of the Client.

4.1 Oxford Intelligence Ltd Reports and Services are provided for general information purposes only and specific independent advice should be taken before acting in reliance on any part of the information. Oxford Intelligence Ltd exercises all reasonable skill, care and diligence in producing any Report or Service. All factual material contained in Reports is obtained from sources believed to be reliable. Although company profiles are reviewed for factual accuracy, Oxford Intelligence Ltd is not responsible for any errors or omissions contained in reports, or for any losses as a result of acting upon the information.
4.2 In the event of the Client suffering any loss, expense or other damages as a result of any act or omission by Oxford Intelligence Ltd, whether such loss, expense or other damage was caused by Oxford Intelligence Ltd's negligence, breach of contract or otherwise, the liability of Oxford Intelligence Ltd to the Client or any other person or organisation claiming through the Client, shall in all cases be limited to £6,000 or the invoiced value of the material supplied to the Client pursuant hereto, (whichever shall be the least).
4.3 Oxford Intelligence Ltd shall not be liable in any circumstances for loss or damage occasioned directly or indirectly by a delay in publication or delivery of Reports and Services, by reason of events or circumstances beyond Oxford Intelligence Ltd's reasonable control including fire, strikes, lock outs, short time, mechanical breakdown or other force majeure.

5.1 All invoices rendered by Oxford Intelligence Ltd shall be paid in full no later than 30 days after delivery of the invoice after which Oxford Intelligence Ltd may charge to the Client interest at three and a half per cent over the National Westminster Bank's base rate for the time being on the amount of any invoice outstanding, such interest to be calculated from the date of invoice.

6.1 Either party may terminate an annual licence subscription contract for Oxford Intelligence Reports or Services, on giving three months' notice, such notice to expire on the next quarter day. Oxford Intelligence Ltd agrees to reimburse the charges for outstanding quarters, from one month of the date of the letter of termination, provided the Client is not in breach of these conditions. Ad hoc Reports are not refundable. The mode of termination of Service contracts shall be defined by separate agreement at the outset of each contract.
6.2 In case of non-payment, Oxford Intelligence Ltd reserves the right to terminate the contract with immediate effect and to suspend deliveries of reports or services.
6.3 If the Client is in breach of copyright and/or licensing agreements Oxford Intelligence Ltd reserves the right to terminate the contract with immediate effect and without reimbursement. Where a Client is under reasonable suspicion of breaching copyright and licensing arrangements, Oxford Intelligence Ltd may cease delivery of reports and may terminate the contract with immediate effect. Oxford Intelligence Ltd reserves the right to take future legal action where a Client has breached or is suspected of breaching copyright and/or licensing agreements.

7. GOVERNING LAW These conditions and any contract entered into between Oxford Intelligence Ltd and the Client relating to these conditions shall be governed by English Law and both parties hereby submit to the exclusive jurisdiction of the English Courts.
